1. Acceptance of Terms

The specific scope, deliverables, timelines, and pricing of each engagement are defined in individual project proposals or service agreements signed between Hi Group and the client.
3. Intellectual Property
All intellectual property rights are governed as follows:
- Hi Group Content: Our website, branding, documentation, and proprietary tools remain the exclusive property of Hi Group SAS.
- Client Deliverables: Upon full payment, clients receive ownership of custom deliverables developed specifically for them, unless otherwise specified in the contract.
- Third-Party Components: Open-source libraries or third-party tools used in projects remain subject to their respective licenses.
- Confidential Methods: Our methodologies, frameworks, and internal processes remain the intellectual property of Hi Group.
4. Client Obligations
To ensure successful project delivery, clients agree to:
- Provide accurate, complete, and timely information required for project execution
- Designate a point of contact responsible for approvals and communication
- Review and provide feedback on deliverables within agreed timeframes
- Comply with all applicable laws in their use of our services and deliverables
- Ensure that any materials provided to Hi Group do not infringe third-party rights
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of the engagement. This includes business strategies, technical specifications, pricing, and client data.
Confidentiality obligations survive the termination of any agreement for a period of three (3) years. Specific NDA terms may be defined in individual contracts.
6. Limitation of Liability
To the fullest extent permitted by applicable law:
- Hi Group's total liability shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
- We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
- We do not guarantee uninterrupted or error-free service for SaaS platforms, though we commit to reasonable uptime and maintenance standards.
- Clients are responsible for their own data backups and business continuity measures.
7. Payment Terms
Unless otherwise specified in the project agreement:
- Invoices are due within thirty (30) days of issuance
- Late payments may incur interest in accordance with applicable French commercial law
- Hi Group reserves the right to suspend services in case of non-payment after written notice
- All prices are exclusive of VAT unless otherwise stated
8. Termination
Either party may terminate a service agreement with written notice as specified in the individual contract. In the absence of specific terms, a notice period of thirty (30) days applies.
Hi Group reserves the right to immediately terminate access to services in cases of material breach, non-payment, or unlawful use. Fees for work completed prior to termination remain due.
9. Governing Law
These Terms are governed by French law. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts of France.
In case of any discrepancy between the English and French versions of these Terms, the French version shall prevail.
10. Changes to These Terms
Hi Group reserves the right to update these Terms of Service at any time to reflect changes in our services, legal obligations, or business practices.
The "Last Updated" date at the top of this page indicates when the Terms were last revised. Continued use of our services after changes constitutes acceptance of the updated Terms.
